Sarah Jessica Parker Lovely Mother’s Day Gift Set Sweepstakes (“Sweepstakes”).

Eligibility: Sweepstakes open to legal residents of the fifty (50) United States and the District of Columbia who are eighteen (18) years of age or older as of 4/1/08. Employees, officers, directors, representatives, and agents of Coty US LLC (“Sponsor”) and its affiliates, Home Box Office, Inc., New Line Productions, Inc. (“New Line”), Quantum Loyalty Systems, Project Support Team, Inc. (“P/S/T”), participating retailers, and each of their respective parent companies, subsidiaries, affiliates, distributors, related entities, partners, partnerships, principals, licensees, successors and assigns, and advertising/promotion agencies (collectively, “Released Parties”) and the immediate family members (spouse, parent, child, sibling and their respective spouses, regardless of where they reside) and/or those living in the same household of any such individual, whether or not related, are not eligible to enter or win. This Sweepstakes is subject to all applicable federal, state, and local laws and regulations. Void where prohibited. New Line is not responsible for the collection, submission or processing of entries, the administration of the Sweepstakes or the selection of the winner.

Sweepstakes Promotion Period: Sweepstakes begins at 12:00:01AM Pacific Time (“PT”) on 4/1/08 and ends at 11:59:59PM PT on 5/1/08 (“Sweepstakes Promotion Period”). How to Enter Sweepstakes:

1) Via Gift With Purchase Redemption: a) Purchase a specially marked Sarah Jessica Parker Lovely Mother’s Day Gift Set (“Gift Set”) at a participating retailer in the U.S. while supplies last during Sweepstakes Promotion Period; b) Find unique code (“Offer Code”) located on inside of bellyband on Gift Set; c) Visit www.sarahjessicaparkerbeauty.com (the “Website”) and follow the instructions to enter Offer Code and redeem your gift with purchase; d) Submit your Offer Code and any other required information in compliance with the Website’s Terms & Conditions by the end of the Sweepstakes Promotion Period and e) You will automatically receive one (1) entry into the Sweepstakes following validation of Offer Code redemption. The gift with purchase offer is governed by separate and independent Terms & Conditions that are also available at the Website during Offer Code redemption period, as set forth in greater detail on the bellyband of the Gift Set and on the Website. Entry will be attributed to the person named on the applicable gift with purchase redemption form attributed to each Offer Code (regardless of the authorized account holder of e-mail address from which redemption form was submitted). Use of automated entry devices and/or Offer Codes that are not legitimately obtained are prohibited and entries received through such prohibited means are void. Offer Code redemption entries received after the end of the Sweepstakes Promotion Period are ineligible for entry in the Sweepstakes. A consumer’s sole remedy for any irregular/defective Offer Code or any Offer Code containing printing, typographical or other errors, as determined solely by Sponsor, is replacement with another Offer Code (while supplies last).

2) Via Mail: To enter Sweepstakes without making a purchase, hand print your name, complete mailing address, telephone number (including area code), date of birth, and the words “Sarah Jessica Parker Lovely Mother’s Day Gift Set Sweepstakes” on a plain 3” x 5” piece of paper and mail it in a sealed, stamped and hand-printed business-sized envelope to: Sarah Jessica Parker Lovely Mother’s Day Gift Set Sweepstakes, P.O. Box 14056, Bridgeport, CT 06673-4056. Enter as often as you wish by mail, but each entry must be mailed separately, posted no later than the end of the Sweepstakes Promotion Period, and must be received by 5/8/08. No photocopied, computer generated facsimiles, mechanically reproduced, or mass entries permitted and all such entries will be void. Your Offer Code redemption and/or your submission of a 3"x 5" mail-in entry constitutes your consent to participate in this Sweepstakes and your consent for Released Parties to obtain, use, and transfer your name, address and other information for the purpose of administering this Sweepstakes. Released Parties are not responsible for late, lost, stolen, misdirected, delayed, inaccurate, incorrect or undelivered entries, Offer Codes, gift with purchase redemptions, or mail; failure to record, process and/or validate Offer Code redemptions; any error, omission, interruption in service due to system upgrades, repairs, modifications or other causes; defects/delays in transmission or communication; telephonic, human or computer failures, problems or errors; theft, destruction or unauthorized access to, or alteration of, Sweepstakes related data; technical or mechanical malfunctions, or other malfunctions or errors whether caused by equipment, programming, human error or otherwise, relating to/in connection with Sweepstakes, including, without limitation, errors of any kind, including printing, typographical, network, computer, human or otherwise, which may occur in connection with Sweepstakes administration, Offer Code distribution, the processing of entries or Offer Codes, or in the prize announcements; interrupted or unavailable network, server or other connections; Internet traffic congestion or any technical problem, including, without limitation, any injury or damage to any person’s computer related to/resulting from Sweepstakes participation; printing or other errors or omissions in these Official Rules, the Website and/or gift with purchase Terms & Conditions, and/or in any Sweepstakes related ads/materials (including but not limited to, Offer Codes); human-processing error; electronic equipment, computer hardware or software failures; or inaccurate entry information, whether caused by equipment, Sweepstakes programming, human error, or otherwise. Sponsor reserves the right, in its sole discretion, to void any and all entries of an entrant who Sponsor believes has attempted to tamper with or impair the administration, security, fairness, or proper play of this Sweepstakes.

Prize: There is one (1) Grand Prize available, consisting of one (1) three (3)-day/two (2)-night trip for the Grand Prize winner and one (1) guest to attend the Sex and the City premiere (“Premiere”) in New York, NY currently anticipated to take place on 5/27/08. The Grand Prize includes round-trip coach air transportation from the nearest major airport to the Grand Prize winner’s residence in the fifty (50) U.S. or D.C., standard hotel accommodations (one (1) room, double-occupancy), two (2) individual invitations to the Premiere for the Grand Prize winner and his or her guest, and ground transportation between the airport and the applicable hotel (Approximate Retail Value “ARV”=$2,475). The Grand Prize winner and his or her guest must both be of the legal age of majority in their respective states of residence and, in any event, eighteen (18) years of age or older in order to receive the Grand Prize and participate in the Grand Prize activities. The Grand Prize winner and his or her guest must travel together on the same itinerary and possess all required travel documents, including visas and valid passports, if and as applicable. All aspects of the travel portions of the Grand Prize must be conducted on such dates as determined by New Line and/or Sponsor in their sole discretion. The dates of departure and return are subject to change at New Line and/or Sponsor’s sole discretion. Airfare may not include government taxes, Passenger Facility Charge or September 11th Security Fee. Airline tickets are non-refundable/non-transferable and are not valid for upgrades and/or frequent flyer miles. Other travel restrictions and blackout dates may apply. All airline tickets are subject to the vagaries of flight variation, work stoppages, and schedule or route changes. Sponsor is not responsible for travel delays. If the closest airport to the Grand Prize winner’s home is in close enough proximity to New York, NY so that as Sponsor may determine in Sponsor’s sole discretion that a flight is unnecessary, the air transportation portion of the Grand Prize may be substituted with ground transportation or may be forfeited in its entirety. The ARV for travel prize may vary depending upon points of departure and destination and fare fluctuations. Sponsor reserves the right to structure travel route and select hotels in its sole discretion. The ARV for travel prize is an estimate made before the Sweepstakes begins. The Grand Prize winner will not receive cash or any other form of compensation if actual travel costs are less than the estimate made in these Official Rules. The round trip air transportation element for the travel prize begins and ends at the point of departure. Premiere admission invitations are non-transferable and will be deemed void if sold, transferred, auctioned or assigned to any third person. In the event that the Grand Prize winner and/or his or her guest engage in behavior that (as determined by New Line and/or Sponsor in their sole discretion) is obnoxious or threatening, illegal, or that is intended to annoy, abuse, threaten or harass any other person, New Line and Sponsor reserve the right to terminate the trip or other applicable experience early, in whole or in part, and send the Grand Prize winner and/or his or her guest home with no further compensation. If the Grand Prize winner is unable to participate in the Grand Prize trip during the dates set forth by New Line and/or Sponsor, the Grand Prize will be forfeited in its entirety. Nothing set forth herein shall be construed to require New Line to hold a Premiere of Sex and the City at any particular time, or at all. The Premiere date is subject to change. In the event that the Premiere listed in the Grand Prize description does not or cannot take place as scheduled or at all, for reasons including but not limited to scheduling conflicts, cancellations, postponement, an event of “Force Majeure” (defined below), or for any other reason, then, in lieu of attending the Premiere, the Grand Prize winner will receive one hundred ($100) dollars. Such amount, plus the remaining components, if any, of the Grand Prize shall constitute full satisfaction of Sponsor’s prize obligation to the Grand Prize winner, and no other additional compensation will be awarded. Excepting the preceding sentence, no cash alternative or prize substitutions will be allowed, except Sponsor reserves the right to substitute prize(s) of comparable value if a prize listed is unavailable for any reason. The Grand Prize is non-transferable and non-assignable. Applicable portions of the Grand Prize will be delivered only to an address in the United States. Travel and hotel accommodation restrictions apply. The Grand Prize winner will be responsible for all meals, insurance, incidentals, upgrades, gratuities, ground transportation other than that described above and for all other costs and expenses associated with prize acceptance and use not specifically stated herein as being provided.

All details and other restrictions of the Grand Prize not specified in these Official Rules will be determined by Sponsor in its sole discretion. All taxes (and the reporting consequences thereof) and any other fees or costs associated with the Grand Prize are the sole responsibility of the winner. The potential Grand Prize winner will be required to execute and return an Affidavit of Eligibility/Liability Release and (where legal) a Publicity Release (“Prize Claim Documents”) within three (3) days of prize notification, or the Grand Prize will be forfeited in its entirety and an alternate winner may be selected. The Grand Prize winner’s guest will be required to execute Prize Claim Documents prior to the issuance of any travel documents. Non-compliance with any of the foregoing or with any other aspect of these Official Rules may result in disqualification and award of the Grand Prize to an alternate winner, at Sponsor’s discretion and time permitting. If any prize notification letter is returned as undeliverable, the potential Grand Prize winner will be disqualified and an alternate winner may be selected, at Sponsor’s discretion and time permitting. If the winner is at least eighteen (18) but still considered a minor in his or her state of residence, Sponsor may, at its discretion, award the Grand Prize in the name of his or her parent or legal guardian who will be responsible for fulfilling all requirements imposed on the minor Grand Prize winner. Sponsor may, at it sole discretion, also require such parent or legal guardian to accompany such minor Grand Prize winner on trip as his or her guest. The Released Parties make no warranties, and hereby disclaim any and all warranties, express or implied, concerning the prize furnished in connection with the Sweepstakes. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SAID PRIZE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND THE RELEASED PARTIES HEREBY DISCLAIM ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT.

Winner Selection/Odds: The potential Grand Prize winner will be selected in a random drawing from among all eligible entries received on or about 5/9/08 by P/S/T, an independent judging organization whose decisions will be final and binding in all matters relating to this Sweepstakes. The first randomly selected potential Grand Prize winner who answers the telephone call placed by P/S/T notifying him or her of his or her potential winning status will be declared the Grand Prize winner, subject to verification of eligibility and compliance with the terms of these Official Rules. Messages will not be left on answering machines or with live persons. Odds of winning will depend on the number of eligible entries received.

General Release/Force Majeure: By participating in the Sweepstakes, each entrant agrees that the Released Parties (i) shall not be responsible or liable for any losses, damages or injuries of any kind resulting from participation in the Sweepstakes or in any Sweepstakes related activity, or from entrant’s acceptance, receipt, possession and/or use or misuse of the prize, and (ii) have not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to the prize and specifically disclaim all such warranties, including without limitation, the implied warranties of merchantability and fitness for a particular purpose. By accepting the prize, the winner agrees to the use of his or her name, photograph, likeness, and/or city/state of residence by Sponsor, New Line, or any party authorized by Sponsor and/or New Line, for advertising and promotional purposes worldwide and in any and all media without additional notice or compensation. The prize will only be awarded to the verified winner. The Released Parties assume no responsibility for any damage to an entrant’s or any other person’s computer system which is occasioned by accessing the Website or otherwise participating in the Sweepstakes, or for any computer system, phone line, hardware, software or program malfunctions or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature. Without limiting the generality of the foregoing, Sponsor is not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, stolen, or (if applicable) postage-due submissions or prize notification; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet Service Providers, web sites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, or difficulties, printing errors, clerical, typographical or other error in the offering or announcement of the prize or in any prize notification documents, or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. If, for any reason, the Sweepstakes is not capable of running as planned, including, due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, Sponsor reserves the right in its sole discretion to cancel, terminate, modify, suspend or extend the Sweepstakes and winner selection may proceed as described below. In the event Sponsor is prevented from awarding the prize or continuing with the Sweepstakes as contemplated herein by any event beyond its control, including but not limited to fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal, state, or local government law, order, or regulation, public health crisis (e.g. SARS), order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each a “Force Majeure” event or occurrence), then subject to any governmental approval which may be required, Sponsor shall have the right to modify, suspend, or terminate the Sweepstakes. If the Sweepstakes is terminated before the designated end date, Sponsor will (if possible) select the winner in a random drawing from all eligible, non-suspect entries received as of the date of the event giving rise to the termination as described above. Inclusion in such drawing shall be each entrant’s sole and exclusive remedy under such circumstances. Only the type and the (1) Grand Prize described in these Official Rules will be awarded. Sponsor reserves the right to terminate online entry if technical difficulties compromise the integrity or ability to continue online entry. ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES, OR TO ANNOY, ABUSE, THREATEN OR HARASS ANY OTHER PERSON IN CONNECTION WITH THE SWEEPSTAKES, IS IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO DISQUALIFY THE APPLICABLE INDIVIDUAL AND SEEK DAMAGES AND OTHER REMEDIES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. If any provisions of these Official Rules are determined to be invalid or unenforceable, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or unenforceable provision were not contained herein.
